Terms of Service

1. Agreement to Terms

By accessing or using Loopion ("the Service"), operated by Loopion Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Service

Loopion is a meeting accountability platform that:

  • Joins scheduled meetings (via calendar integration) to record and transcribe conversations
  • Uses AI to extract action items, owners, and deadlines from meeting transcripts
  • Tracks action completion and carries forward outstanding items to subsequent meetings
  • Posts recap messages to Microsoft Teams channels
  • Provides analytics on team accountability and meeting effectiveness

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorised access to your account
  • You may not share account access or transfer your account to another party

4. Acceptable Use

You agree not to:

  • Use the Service to record meetings without the knowledge and consent of all participants
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious software or harmful content
  • Scrape, mine, or extract data from the Service by automated means
  • Resell, sublicense, or distribute the Service without our written consent

5. Meeting Recording & Consent

You are solely responsible for ensuring that all participants in any meeting recorded by Loopion are aware of and consent to the recording. This includes compliance with:

  • Applicable data protection laws (including GDPR and UK Data Protection Act 2018)
  • Employment laws regarding workplace monitoring
  • Any internal policies of your organisation

6. AI Processing & Accuracy

Loopion uses artificial intelligence to transcribe meetings and extract action items. AI-generated content may contain errors. Specifically:

  • Transcripts may not be 100% accurate
  • Action items may be incorrectly identified, attributed, or missed
  • Speaker identification may contain errors
  • Due dates and deadlines may be incorrectly interpreted

You should review AI-generated content and not rely solely on automated outputs for critical business decisions. Loopion is a productivity tool, not a replacement for human judgement.

7. Intellectual Property

  • Your content: You retain all rights to your meeting recordings, transcripts, and data. We claim no ownership of your content.
  • Our service: The Service, its design, code, features, and documentation are owned by Loopion Ltd and protected by intellectual property laws.
  • Licence grant: We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription.

8. Data & Privacy

Our processing of your data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our privacy practices.

9. Service Availability

  • We aim to provide 99.9% uptime but do not guarantee uninterrupted service
  • We may perform scheduled maintenance with reasonable notice
  • We are not liable for service interruptions caused by third-party providers, network issues, or force majeure events

10. Subscription & Payment

  • Free tier: Available with limited features as described on our Pricing page
  • Paid plans: Billed monthly or annually as selected. Prices are subject to change with 30 days' notice
  • Refunds: We do not offer refunds for partial billing periods
  • Cancellation: You may cancel at any time. Access continues until the end of your current billing period

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any losses arising from AI-generated content, including incorrect actions or transcriptions

12. Indemnification

You agree to indemnify and hold harmless Loopion Ltd, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights (including recording consent obligations).

13. Termination

  • You may terminate your account at any time
  • We may suspend or terminate your access if you violate these terms
  • Upon termination, we will delete your data within 30 days (except where retention is required by law)
  • Sections on intellectual property, limitation of liability, and indemnification survive termination

14. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
